Artificial Intelligence Addendum

This Artificial Intelligence (AI) Addendum (the “AI Terms”) is an integral part of the online PeopleForce Terms of Service and is incorporated therein by reference. These AI Terms govern the customer’s access to and use of any PeopleForce AI functionality. Capitalized terms not otherwise defined in this Addendum shall have the meaning assigned to them in the PeopleForce Terms of Service.

In the event of a conflict between this Addendum and the Agreement, this Addendum shall control.

1. Definitions:

“AI Providers” means OpenAI and Groq as described in the list found here

“PeopleForce AI” refers to any functionality or feature(s) provided by PeopleForce that leverages artificial intelligence powered by machine learning, using data models developed by third-party providers. Such functionality may be designated or described as PeopleForce AI and is considered part of the Service as defined in the PeopleForce Terms of Service

“Data” (“Customer’s Data”) means the information provided, entered or uploaded to the PeopleForce system (platform) by you or on your behalf as described in the PeopleForce Terms of Service.

“Input” refers to any questions, information, including Customer Data submitted by the customer to PeopleForce AI for processing.

“Output” refers to any response generated by PeopleForce AI and delivered to the customer based on the Input provided. Output may include Customer Data or other content derived from or related to the Input.

2. Customer Data, Inputs, and PeopleForce AI Output. When the customer uses PeopleForce AI, the resulting Output will be deemed part of the Customer Data. The customer bears sole responsibility for the creation, content, operation, maintenance, use, and distribution of its Inputs and Customer Data. The customer shall ensure that neither the Customer Data nor the use of PeopleForce AI, including any resulting Output: 

(a) violates any applicable law; 

(b) breaches these AI Terms, the PeopleForce Terms of Service, or any usage policies adopted by PeopleForce from time to time; or 

(c) infringes upon, misappropriates, or otherwise violates the rights of PeopleForce or any third party. The customer further represents and warrants that it holds all necessary rights, licenses, and permissions to submit Input to PeopleForce AI. The customer acknowledges that, due to the nature of generative AI technologies underlying PeopleForce AI features, Output may not be unique and may be identical or similar to content generated by or provided to PeopleForce or other third parties.

3. Participation and Termination. 

Use of PeopleForce AI features and participation in any PeopleForce AI Beta Program is entirely optional. The platform allows customers to enable or disable individual AI-powered functionalities via the settings interface.

Activating a specific AI feature constitutes the customer’s express consent to its use, to the extent such consent is required by applicable law. When AI is utilized in recruitment-related workflows, a separate consent checkbox is displayed to candidates on the Career site.

The PeopleForce platform is built to ensure that both organizations and users retain full control over AI functionality. All AI features are disabled by default. Each AI use case is presented in a transparent, module-based toggle system, enabling administrative users to manage each AI feature independently.

PeopleForce reserves the right, at its sole discretion, to update, replace, or otherwise modify these AI Terms in accordance with Section 11.3 of the PeopleForce Terms of Service. PeopleForce may alter, suspend, or terminate any AI feature at any time. Continued use of PeopleForce AI after any such changes are posted will constitute the customer’s acceptance of those changes. PeopleForce may also apply usage limitations or restrict access to specific AI features or to the entire AI functionality without prior notice and without incurring any liability.

4. Risks and Limitations. Artificial intelligence and machine learning technologies involve both recognized and unforeseen risks and limitations. You acknowledge and agree that you are solely responsible for: (a) establishing and enforcing your own internal policies governing appropriate use of such technologies and ensuring that all users under your account are properly trained on those policies; (b) providing all required disclosures related to transparency and explainability, and obtaining any consents mandated by applicable law; and (c) maintaining adequate human oversight over your use of PeopleForce AI.

By accessing or using PeopleForce AI, you understand and agree that PeopleForce bears no responsibility for: (a) any inaccuracies, omissions, or errors in the AI-generated Output; (b) any bias, unfairness, or limitations inherent in the underlying models or datasets; or (c) any Output that may be perceived as unsafe, harmful, offensive, or otherwise inappropriate. 

You further acknowledge that PeopleForce AI is an optional component of the Service and that you may discontinue its use at any time or cancel your subscription to the Service in accordance with the applicable terms.

5. PeopleForce AI Use Restrictions. The customer agrees not to submit, whether intentionally or otherwise, any Input to PeopleForce AI that includes sensitive or regulated information. This includes, but is not limited to: (a) Protected Health Information (PHI) as defined under HIPAA or comparable laws, as well as any health-related, genetic, or biometric data; (b) government-issued identification numbers of any type; or (c) personal financial or banking information.

The customer further agrees not to use PeopleForce AI: (a) to build foundation models or any large-scale models intended to compete with PeopleForce; (b) to misrepresent AI-generated Output as content created exclusively by a human; (c) to produce or distribute spam, fraudulent, or otherwise inappropriate content; or (d) in any way that contravenes applicable technical documentation, usage rules, or other published guidelines provided by PeopleForce.

Use of PeopleForce AI is subject to fair usage limitations, as determined solely by PeopleForce. The customer acknowledges and agrees that exceeding these fair usage limits—based on criteria set by PeopleForce at its sole discretion—may result in restricted access to, or degraded performance of, PeopleForce AI.

6. Customer obligations. Customer acknowledges and agrees that 

(a) the AI model is not designed or intended to autonomously make decisions related to employment matters;

(b) Customer is solely responsible for its own employment decisions; and

(c) the customer will ensure that its Authorized Users receive appropriate training regarding the risks associated with over-reliance on AI, in order to support proper and informed use of the Services in accordance with the Terms.

7. Intellectual Property. As between the parties, PeopleForce retains all right, title, and interest in and to the PeopleForce platform, including any interfaces, integration logic, and Performance Data generated through Customer’s use of PeopleForce AI.

PeopleForce AI features may rely on third-party artificial intelligence technologies provided by external vendors (e.g., OpenAI, Groq). Ownership of such third-party AI models and associated intellectual property remains with the respective providers.

Unless expressly stated otherwise, no rights or licenses are granted to the Customer under these Terms with respect to the underlying AI models or technology, other than a limited right to use the PeopleForce AI features as integrated within the Service and in accordance with these Terms.

8. Warranties and Indemnification. PeopleForce AI is provided on an “as is” basis. PeopleForce makes no representations or warranties regarding the accuracy, completeness, reliability, or usefulness of any Output generated by PeopleForce AI, nor any results that may arise from its use. All warranties, whether express or implied, including but not limited to warranties of merchantability, non-infringement, and fitness for a particular purpose, are expressly disclaimed.

The Customer acknowledges and agrees that PeopleForce does not verify the legal accuracy or compliance of any Output, materials, or other data produced through the use of PeopleForce AI. The Customer assumes full responsibility and risk for any reliance on, or use of, such Output or data. Any factual claims or information provided by PeopleForce AI should not be relied upon without independent verification. Even if the Output appears specific or detailed, it may still contain material inaccuracies. PeopleForce AI may not retrieve real-time information and may not reflect changes or events occurring after the model was trained.

No statement or advice, whether oral or written, obtained from PeopleForce or through the use of PeopleForce AI, shall be deemed to create any warranty not expressly stated in these Terms.

To the maximum extent permitted by law, neither PeopleForce nor its affiliates or representatives shall be liable under any legal or equitable theory for any claims (including third-party claims), losses, or damages arising from or related to the Customer’s use of PeopleForce AI. The Customer agrees to indemnify, defend, and hold harmless PeopleForce, including for any indemnity obligations PeopleForce may owe to its AI providers, from and against all such claims.

For the avoidance of doubt, Customer Data—whether provided as Input or generated as Output through the use of PeopleForce AI—is not used by PeopleForce or any of its third-party AI providers to train, retrain, or improve underlying AI or machine learning models. PeopleForce does not grant any rights to use such data for model training purposes, and all Customer Data remains subject to the confidentiality and data protection obligations set forth in the applicable Terms of Service, Privacy Policy, and Data Processing Agreement.

9. Improving PeopleForce AI. PeopleForce may collect and use aggregated performance metrics and user feedback derived from the Customer’s interaction with PeopleForce AI features for the sole purpose of evaluating, maintaining, and improving the functionality, reliability, and user experience of the PeopleForce platform and its AI-related integrations.

Such data does not include Customer Data or any personal data submitted as Input or returned as Output, and is not used to train or improve the underlying third-party AI models. Any improvements to the core AI technology itself remain the responsibility of the respective AI Providers.

10. Privacy. PeopleForce’s Privacy Policy and Data Processing Agreement (DPA ) are hereby incorporated into these AI Terms by reference and shall apply to all processing of personal data in connection with the use of PeopleForce AI.

11. AI Providers’ Policies. PeopleForce integrates technologies made available by its third-party AI Providers to deliver specific features and functionalities within PeopleForce AI. The Customer agrees not to use PeopleForce AI in any way that would breach the applicable policies of those AI Providers, including but not limited to OpenAI’s Usage Policies and Sharing and Publication Policy; and Groq’s Terms of Use and Privacy Policy.

12. Additional Processing Instructions. To the extent Customer Data provided as input to PeopleForce AI contains Personal Data (as that term is used or similarly defined in the PeopleForce Data Processing Agreement), Customer instructs PeopleForce to process the Personal Data for the additional purpose of providing the PeopleForce AI functionality and PeopleForce AI Output. 

13. Entire Agreement; Modification; Conflicts. These PeopleForce AI Terms, together with the PeopleForce Terms of Service, represent the complete and exclusive agreement between the parties with respect to the subject matter herein and supersede all prior or contemporaneous understandings, communications, proposals, or agreements—whether oral or written—relating to the same subject.

Except where PeopleForce exercises its right to unilaterally amend or replace these AI Terms as outlined above, and the Customer accepts such changes by continuing to use PeopleForce AI after they are posted, no other amendment, modification, or waiver of any provision of these AI Terms shall be valid unless made in writing and signed by both parties.

In the event of any inconsistency or conflict between the provisions of these PeopleForce AI Terms and the Terms of Service, the provisions of these AI Terms shall prevail.
