PeopleForce Free Trial Terms of Service

These Free Trial Terms of Service (hereinafter «Trial Terms») are entered into by and between the relevant PeopleForce contracting entity specified  (hereinafter «PeopleForce» «We», or «Us») and the individual or entity registering for the Trial (hereinafter «Customer», «You», or «Your»), together the «Parties»

This Trial Terms applies specifically to Customers who have not yet entered into a paid subscription for the PeopleForce platform. By registering for, accessing, or using the Trial, Customer accepts this Trial Terms in full, together with the PeopleForce Privacy Policy and other PeopleForce Policies published in the Trust Hub. If Customer disagrees with any part of this Trial Terms, Customer must not access or use the Trial.

Where a Customer later converts to a paid subscription, PeopleForce's standard Terms of Service (available at peopleforce.io/terms-and-conditions) will govern from the date of conversion onward, superseding this Trial Terms except where expressly stated otherwise.

Definitions

«Trial» - the free, time-limited period during which Customer may access the Platform under this Trial Terms, without charge and without a purchase obligation.

«Platform» - the PeopleForce platform, including the functional modules made accessible to Customer for the purposes of evaluation during the Trial. The Platform provided under this Trial Terms is not a software for management of enterprises and only illustrates the functions of full PeopleForce platform, providing no actual management functions.

«Services» - access to the Platform during the Trial, together with any limited support PeopleForce elects to provide, at its discretion, during the Trial Period.

«Authorized Users» -  individuals granted access to the Platform under Customer's Trial account, including Customer's employees or other individuals it authorizes.

«Content»/ «Customer Data» - any information, records, or materials Customer or its Authorized Users upload, enter, or generate within the Platform during the Trial.

«Trial Period» the duration of Trial access, as set out in Section 1 below.

«Confidential Information», «Data Protection Legislation», and «PeopleForce Policies» carry the same meaning as in PeopleForce's standard Terms of Service.

1. The Trial Period

PeopleForce may offer Customer a free trial of the Platform for 14 (fourteen) days from the date of activation ("Trial Period"), unless a different duration is confirmed in writing.

To begin the Trial, Customer must provide a valid contact address and phone number, accept this Trial Terms and the PeopleForce Privacy Policy, and configure the Platform features it wishes to evaluate.

PeopleForce may extend, shorten, suspend, or end the Trial at its sole discretion and without liability to Customer, including where PeopleForce suspects misuse, abuse, or a breach of Section 4 below.

Access to the Platform ends automatically upon expiry of the Trial Period unless Customer has entered into a paid subscription beforehand. PeopleForce is not obliged to provide advance notice of expiry, though it may choose to do so.

The Trial may not include all modules, features, integrations, or usage volumes available under a paid Pricing Plan, and PeopleForce may apply usage limits (e.g., number of Authorized Users or records) at its discretion.

Nothing in this Trial Terms obligates Customer to purchase a subscription, nor does it obligate PeopleForce to make a paid subscription available to Customer following the Trial.

2. No Fees

The Trial is provided free of charge. Should Customer subsequently subscribe to a paid Pricing Plan, all payment terms will be governed exclusively by the standard Terms of Service and the applicable order.

3. Right to Use the Trial

3.1 Only Customers who complete registration and accept this Trial Terms and the Privacy Policy may access the Trial. Customer must provide accurate registration information and keep it up to date.

3.2 Customer is responsible for the confidentiality and security of its login credentials and password, and must promptly notify PeopleForce of any suspected unauthorized access.

3.3  PeopleForce will use reasonable efforts to make the Platform accessible promptly following registration but does not guarantee any specific activation timeframe during the Trial.

3.4 The usage restrictions set out in Section 3.5 of PeopleForce's standard Terms of Service (including prohibitions on reverse engineering, unauthorized scraping or automation, sublicensing, and unlawful use) apply equally and in full during the Trial. PeopleForce may revoke Trial access immediately upon any breach.

3.5. Customer warrants that it has full authorization and legal grounds to provide any Content or Personal Data uploaded to the Platform during the Trial.

4. Acceptable Use of the Trial

4.1. In addition to Section 3.4, Customer agrees not to use the Trial: (a) to build, evaluate, or benchmark a competing product; (b) to conduct a technical or security assessment of the Platform without PeopleForce's prior written consent; or (c) for any production, mission-critical, or payroll-critical purpose. The Trial is intended for evaluation only.

5. Privacy and Data Protection

5.1. PeopleForce will process Personal Data submitted during the Trial in accordance with its Privacy Policy and, where applicable, its Data Processing Addendum, consistent with Section 4 of the standard Terms of Service.

5.2  PeopleForce does not guarantee that Trial Content or Customer Data will be retained, backed up, or made available for migration if Customer converts to a paid subscription, however PropleForce will apply commercially reasonable efforts to provide such services. Customer should not treat the Trial environment as a system of record.

5.3 If Customer does not convert to a paid subscription, PeopleForce may delete Trial Content and Customer Data shortly after the Trial Period ends, without further notice.

6. No Warranties

6.1. During the Trial period the Platform is available to the Client "AS IS" and without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.

6.2. PeopleForce's Technical Support commitments (Section 7 of the standard Terms) do not apply to the Trial. Any assistance PeopleForce provides during the Trial is offered on a best-efforts, discretionary basis only.

6.3. PeopleForce does not warrant that the Trial will be uninterrupted, error-free, or secure, and may suspend or modify it at any time as described in Section 1.3.

7. Limitation of Liability

7.1. To the maximum extent permitted by applicable law PeopleForce shall not be liable for any damages or losse, or for loss of profits, revenue, data, or business opportunity, arising from or related to the Trial use of Platform;

7.1.1. This limitation do not apply to liability arising from PeopleForce's breach of confidentiality obligations or a security breach involving Customer's data, consistent with the carve-outs in the standard Terms.

7.2. Customer agrees to indemnify and hold PeopleForce harmless from third-party claims arising from Customer's use of the Trial in violation of this Trial Terms, on the same basis as Section 6.2 of the standard Terms of Service.

8. Confidentiality

8.1. Each Party will protect the other's Confidential Information disclosed during the Trial with reasonable care and will not disclose it to third parties except as permitted by this Trial Terms or required by law.

9. Termination

9.1. Either Party may end the Trial at any time, for any reason, effective immediately upon notice (which PeopleForce may provide through the Platform itself or by email).

Sections 2, 5.2, 5.3, 6, 7, 8, and 10 hereof survive expiry or termination of the Trial.

Upon conversion to a paid subscription, this Trial Terms is superseded by PeopleForce's standard Terms of Service, which will govern the ongoing relationship, consistent with Section 9 of those Terms.

10. Miscellaneous

10.1. Customer may not assign this Trial Terms without PeopleForce's prior written consent.

10.2. Notices under this Trial Terms must be made in writing in English to [contact email], consistent with Section 12.2 of the standard Terms.

10.3. PeopleForce may update this Trial Terms at any time; continued use of the Trial after such changes constitutes acceptance, consistent with Section 12.3 of the standard Terms.

10.4. This Trial Terms is governed by the same governing law and venue provisions applicable to PeopleForce's standard Terms of Service.

10.5. In the event of any conflict between this Trial Terms and PeopleForce's standard Terms of Service, this Trial Terms governs solely with respect to the Trial Period, and only until Customer converts to a paid subscription.
